Software License Agreement

1Grant of License

Boompledge grants the Customer a limited, non-exclusive, non-transferable, revocable license to use the software for lawful business purposes in accordance with this Agreement.

The software is licensed, not sold.

2Ownership

Boompledge software, source code, database structures, designs, trademarks, logos, branding, documentation, and related materials remain the exclusive property of Boompoo Global Mart Pvt Ltd.

No ownership rights are transferred to the Customer.

3Permitted Use

The Customer may:

• Use the software for their own business operations.
• Access the software through approved devices.
• Use features available under their purchased plan.
• Store and manage business data through the software.

4Restrictions

The Customer shall not:

• Copy or duplicate the software.
• Modify or create derivative works.
• Reverse engineer, decompile, or disassemble the software.
• Resell, rent, lease, sublicense, distribute, or commercially exploit the software.
• Share account access with unauthorized users.
• Attempt to gain unauthorized access to Boompledge systems or servers.

Any violation may result in immediate suspension or termination of the license.

6Maintenance & Support

Maintenance services are governed by the applicable AMC Policy and may include:

• Technical Support
• Software Updates
• Cloud Backup
• Security Improvements
• Server Maintenance

Boompledge reserves the right to revise maintenance fees and service offerings with prior notice.

7Account Responsibility

The Customer is responsible for:

• Maintaining account confidentiality
• Protecting login credentials
• Restricting unauthorized access
• Ensuring proper usage by employees or authorized users

The Customer shall remain responsible for all activities conducted under their account.

8Software Updates

Boompledge may provide software updates, bug fixes, enhancements, security improvements, and new features from time to time. Availability of updates may depend on the Customer's active plan and maintenance status.

9Suspension & Termination

Boompledge may suspend or terminate access if:

• Payment obligations are not met
• Fraudulent activities are detected
• The software is misused
• This Agreement is violated
• Applicable laws are breached

Termination of access shall not entitle the Customer to any refund.

10Disclaimer of Warranties

Boompledge software is provided on an "as available" and "as is" basis.

While reasonable efforts are made to ensure reliability and security, Boompledge does not guarantee uninterrupted, error-free, or completely secure operation at all times.

11Limitation of Liability

Boompledge shall not be liable for: loss of profits, business interruption, data loss, or indirect or consequential damages.

The total liability of Boompledge shall not exceed the amount paid by the Customer during the preceding twelve (12) months.

12Intellectual Property Protection

All copyrights, trademarks, trade secrets, patents, and intellectual property rights relating to Boompledge remain the sole property of Boompoo Global Mart Pvt Ltd.

Unauthorized use may result in legal action.

13Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India.

Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

14Electronic Acceptance

Acceptance of this Agreement through electronic consent, checkbox selection, OTP verification, digital signature, or software usage shall be deemed legally valid and enforceable.
